About this Code\u003C\u002Fstrong>\u003C\u002Fh3>\u003Cp>Corporate integrity, responsible sourcing, environmental sustainability and the safety and wellbeing of workers across the global supply chain are of paramount importance to Elliptic. This Supplier Code of Conduct (Code) establishes the minimum standards that must be met by any business or entity that supplies products or services to Elliptic.\u003C\u002Fp>\u003Cp>In this Code:\u003C\u002Fp>\u003Cp>Supplier:     means a company, partnership or individual that provides goods or services to Elliptic Enterprises Limited OR one or more members of the Elliptic group of companies.\u003C\u002Fp>\u003Cp>Associates:   means the Supplier's suppliers, vendors, agents and subcontractors who are involved in Elliptic's supply chain.\u003C\u002Fp>\u003Ch3>\u003Cstrong>2. Scope\u003C\u002Fstrong>\u003C\u002Fh3>\u003Cp>The Supplier must comply with this Code. In addition, as set out in paragraph 9.3, the Supplier must ensure that Associates are required to comply or meet the applicable provisions of this Code.\u003C\u002Fp>\u003Ch3>\u003Cstrong>3. Standards of Compliance\u003C\u002Fstrong>\u003C\u002Fh3>\u003Cp>3.1  In carrying out its agreement(s) with Elliptic, the Supplier must comply with the standards set out in this Code and all applicable laws and regulations where it operates.\u003C\u002Fp>\u003Cp>3.2  If there is a conflict between any applicable laws or regulations, the agreement between the parties, and this Code, the Supplier will meet the most stringent standard.\u003C\u002Fp>\u003Ch3>\u003Cstrong>4. Updating This Code\u003C\u002Fstrong>\u003C\u002Fh3>\u003Cp>Elliptic has the right to modify this Code from time to time on giving the Supplier at least 60 days' notice in writing, which includes email.\u003C\u002Fp>\u003Ch3>\u003Cstrong>5. Workforce Issues\u003C\u002Fstrong>\u003C\u002Fh3>\u003Cp>\u003Cstrong>5.1\u003C\u002Fstrong> Slavery, Human Trafficking and Forced Labour The Supplier will comply with all applicable anti-slavery and human trafficking laws, statutes and regulations from time to time in force in any part of its supply chain. This includes, but is not limited to, not supporting or engaging or requiring any forced labour, the use of child labour, bonded labour, indentured labour, or prison labour.\u003C\u002Fp>\u003Cp>\u003Cstrong>5.2\u003C\u002Fstrong> Human Rights The Supplier will comply with all internationally recognised human rights understood, at a minimum, as those expressed in the International Bill of Human Rights and the principles concerning fundamental rights set out in the International Labour Organisation's Declaration on Fundamental Principles and Rights at Work from time to time in force in any part of its supply chain.\u003C\u002Fp>\u003Cp>\u003Cstrong>5.3\u003C\u002Fstrong> Equal Opportunities Elliptic is an equal opportunity employer. The Supplier will not discriminate in hiring, compensation, training, advancement or promotion, termination, retirement, or any employment practice on the basis of race, colour, national origin, gender, gender identity, sexual orientation, religion, age, marital or pregnancy status, disability, or any other characteristic other than the worker's ability to perform the job subject to any accommodations required or permitted by law.\u003C\u002Fp>\u003Cp>\u003Cstrong>5.4\u003C\u002Fstrong> Freedom of Association and Collective Bargaining The Supplier will respect, and will not interfere with, the right of workers to decide whether to lawfully associate with groups of their choice, including the right to form or join trade unions and to engage in collective bargaining.\u003C\u002Fp>\u003Cp>\u003Cstrong>5.5\u003C\u002Fstrong> Working Environment The Supplier shall provide a safe, healthy, and sanitary working environment and comply with health and safety laws. This includes, but is not limited to, implementing general and relevant industry-specific procedures and safeguards to prevent workplace hazards and work-related accidents and injuries. Where such hazards cannot be adequately prevented or controlled, the Supplier shall provide workers with appropriate personal protective equipment to protect against hazards typically encountered in that scope of work.\u003C\u002Fp>\u003Cp>\u003Cstrong>5.6\u003C\u002Fstrong> Wages and Remuneration The Supplier must compensate all workers with wages, including overtime premiums, and benefits that at a minimum meet the higher of: (a) the minimum wage and benefits established by applicable law (b) collective agreements (c) industry standards (d) an amount sufficient to cover basic living requirements\u003C\u002Fp>\u003Ch3>\u003Cstrong>6. Environmental Responsibility\u003C\u002Fstrong>\u003C\u002Fh3>\u003Cp>\u003Cstrong>6.1\u003C\u002Fstrong> The Supplier will ensure that: (a) its operations comply with all applicable environmental laws, including laws and international treaties relating to (but not limited to) climate change, waste disposal, emissions, discharges and hazardous and toxic material handling (b) the goods it manufactures (including the inputs and components that it incorporates into its goods) comply with all environmental laws and treaties (c) it will only use packaging materials that comply with all applicable environmental laws and treaties\u003C\u002Fp>\u003Cp>\u003Cstrong>6.2\u003C\u002Fstrong> The Supplier will have in place a suitable environmental management system for managing its environmental risks. As a minimum, the system should include and address the following: (a) an assessment of the environmental impact of all historical, current and likely future operations (b) steps to continuously improve environmental performance, reduce pollution, emissions and waste (c) measures to reduce the use of all raw materials, energy and supplies (d) raising awareness and training employees in environmental matters\u003C\u002Fp>\u003Ch3>\u003Cstrong>7. Bribery and Corruption\u003C\u002Fstrong>\u003C\u002Fh3>\u003Cp>The Supplier must maintain the highest ethical standards and comply with all applicable laws, statutes, codes, and regulations relating to the prevention of bribery and corruption. To that end, the Supplier will not accept, offer, promise, pay, permit or authorise: (a) bribes, facilitation payments, kickbacks or illegal political contributions (b) money, goods, services, gifts, entertainment, employment, contracts or other things of value, in order to obtain or retain an advantage (c) any other unlawful or improper payments or benefits\u003C\u002Fp>\u003Ch3>\u003Cstrong>8. Unfair Business Practices\u003C\u002Fstrong>\u003C\u002Fh3>\u003Cp>The Supplier will comply with all applicable competition laws including but not limited to those relating to teaming and information sharing with competitors, price fixing, and rigging bids.\u003C\u002Fp>\u003Ch3>\u003Cstrong>9. Sourcing and Managing of Associates\u003C\u002Fstrong>\u003C\u002Fh3>\u003Cp>\u003Cstrong>9.1\u003C\u002Fstrong> When assessing the Supplier's performance against the requirements set out in this paragraph 9, Elliptic will consider the risk profile of the transaction, the Supplier's ability to comply with the requirements and the consequences where the Supplier fails to meet those requirements.\u003C\u002Fp>\u003Cp>\u003Cstrong>9.2\u003C\u002Fstrong> The Supplier will carry out appropriate due diligence of its prospective Associates that will form part of Elliptic's upstream supply chain. As a minimum, the due diligence should include the following: (a) investigations into prospective suppliers' stance, public statements, compliance with applicable laws and other actions on human rights, treatment of workers, bribery, ethical behaviour and the environment (b) risk assessments for countries from which materials, components, or finished goods are sourced\u003C\u002Fp>\u003Cp>\u003Cstrong>9.3\u003C\u002Fstrong> When dealing with Associates, the Supplier will: (a) ensure that all agreements with Associates include provisions that require the Associates to comply with applicable provisions of this Code (b) ensure that it has measures to monitor that those Associates are complying with those compliance-related provisions\u003C\u002Fp>\u003Ch3>\u003Cstrong>10. Training\u003C\u002Fstrong>\u003C\u002Fh3>\u003Cp>The Supplier will implement a system of training for its employees and Associates to ensure that they are aware of the requirements of this Code.\u003C\u002Fp>\u003Ch3>\u003Cstrong>11.
